ZYNAGE — Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the ZYNAGE platform (the "Platform"), operated by TECHNOLED INC, a New York corporation ("TECHNOLED," "ZYNAGE," "we," "us," or "our"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and, if acting on behalf of a business, have authority to bind that business. The Platform is intended for business use.

3. The ZYNAGE Platform

ZYNAGE is a two-sided digital out-of-home (DOOH) advertising marketplace that connects:

  • Publishers (venue and screen owners) who list their screens to earn revenue; and
  • Advertisers who book ad placements on those screens.

ZYNAGE provides the marketplace, booking, content-management, and payment-facilitation tools. ZYNAGE is not a party to the advertising arrangement between an Advertiser and a Publisher except as expressly stated, and does not own the screens or the advertising content.

4. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Authentication is provided through our authentication provider. Notify us promptly of any unauthorized use.

5. Publishers (venue / screen owners)

If you list screens, you represent and agree that:

  • You own or have the right to operate the screens and venues you list and to display advertising on them.
  • The information you provide about each screen (location, specifications, availability, pricing) is accurate and kept up to date.
  • You will review booking requests and approve or reject them, and where you approve a booking, you will display the approved advertising for the agreed dates.
  • You will keep your screens operational during booked periods, consistent with the availability you set.
  • You are responsible for compliance with all laws applicable to operating your screens and displaying advertising at your venue.

6. Advertisers

If you book placements, you represent and agree that:

  • You own or have all necessary rights and licenses to the advertising content (creatives) you upload, and that content does not infringe third-party rights or violate law.
  • Your content complies with our content standards (Section 8).
  • You will pay the amounts due for bookings you submit, in accordance with Section 7.

7. Bookings, payments, and revenue share

Booking flow. When you submit a campaign, you authorize the total budget on your payment method. Funds are captured when (and only when) the relevant Publisher approves the booking. A Publisher may approve or reject a booking request. If a request is rejected or not approved, the corresponding authorization is released and not captured.

Revenue share. For each completed booking, the Publisher receives seventy percent (70%) of the booking total and ZYNAGE retains thirty percent (30%) as a platform fee.

Payment processing. Payments are processed by third-party providers — Stripe (United States) and Wompi (Colombia). Your use of those services is subject to their terms. ZYNAGE does not store full payment card details.

Payouts. Publisher earnings are paid out in accordance with our then-current payout schedule and the requirements of the applicable payment provider.

Taxes. Each party is solely responsible for determining, collecting, reporting, and remitting its own applicable taxes. ZYNAGE does not provide tax advice and does not calculate or remit taxes on your behalf.

Cancellations and refunds. Before a Publisher approves a booking, you may cancel it at no charge, and the corresponding budget authorization is released. After a Publisher approves a booking and funds are captured, amounts paid for that placement are non-refundable, except where required by law or otherwise agreed in writing. If a Publisher fails to display approved advertising as booked, contact us at legal@zynage.ai and we will review the matter in good faith.

8. Content standards and moderation

You may not submit or display content that is unlawful, deceptive, infringing, defamatory, obscene, hateful, or that promotes violence or illegal activity, or that otherwise violates our policies. ZYNAGE may review, reject, or remove any content or listing, and may suspend bookings or accounts, at its discretion, to protect users, Publishers' venues, and the integrity of the network. ZYNAGE is not obligated to monitor content but may do so.

9. Intellectual property

  • Your content. Advertisers retain ownership of their creatives and grant ZYNAGE and the relevant Publisher a limited license to host, display, and distribute that content as needed to deliver the booked placement.
  • The Platform. ZYNAGE and TECHNOLED retain all rights in the Platform, including software, design, and trademarks. These Terms grant you no rights in our intellectual property except the right to use the Platform as permitted.

10. Disclaimers

The Platform is provided "as is" and "as available." We do not warrant uninterrupted or error-free operation, and we do not guarantee any specific number of impressions, plays, results, or revenue. To the maximum extent permitted by law, we disclaim all implied warranties.

11. Limitation of liability

To the maximum extent permitted by law, TECHNOLED and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our aggregate liability arising out of or relating to the Platform will not exceed the greater of the fees you paid to ZYNAGE in the twelve (12) months before the event giving rise to the claim, or USD 100.

12. Indemnification

You will indemnify and hold harmless TECHNOLED and its affiliates from claims, damages, and expenses arising from your content, your use of the Platform, your breach of these Terms, or your violation of law or third-party rights.

13. Term and termination

You may stop using the Platform at any time. We may suspend or terminate your access for violation of these Terms or to protect the Platform or its users. Provisions that by their nature should survive termination (including Sections 9–14) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Nothing in these Terms limits mandatory consumer or data-protection rights you may have under the laws of your country of residence, including Colombia.

15. Changes to these Terms

We may modify these Terms. We will post the updated version with a new effective date and, where appropriate, notify you. Your continued use after changes take effect constitutes acceptance.
